These Terms of Service ("Terms") constitute a legally binding agreement between Zucol Services Private Limited ("Zucol," "we," "us," or "our"), the company operating the Zoice platform and the website zoice.ai, and the individual or entity accessing or using the platform ("Customer," "you," or "your"). The Zoice platform, website, dashboards, APIs, and related services are collectively referred to as the "Services."
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Services.
2. The Service
Zoice is a business-to-business conversational AI platform that enables customers to build, configure, and deploy AI agents that conduct conversations with their end users over telephone voice calls, WhatsApp, web chat, and SIP/API integrations. The Services include, among other things, agent configuration tools, knowledge base management, campaign management, call and message handling, transcripts, analytics, and integrations with third-party systems such as CRMs and telephony providers.
We may add, modify, or discontinue features of the Services from time to time. Where a change materially reduces the core functionality you have paid for, we will use reasonable efforts to notify you in advance.
3. Accounts & Eligibility
- The Services are intended for business use only. You must be at least 18 years of age and capable of entering into a binding contract under applicable law to use the Services.
- You must provide accurate, current, and complete information when registering an account and keep that information up to date.
- You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activities that occur under your account, including activities of your authorized users.
- You must notify us promptly at the contact details below if you become aware of any unauthorized access to or use of your account.
4. Acceptable Use
You agree that you will not use the Services to:
- Violate any applicable law, regulation, or third-party right, including data protection, consumer protection, and telecommunications laws.
- Place unsolicited commercial calls or send unsolicited messages in violation of the Telecom Regulatory Authority of India (TRAI) regulations, including the Telecom Commercial Communications Customer Preference Regulations (TCCCPR) and Do-Not-Disturb (DND) registry requirements, or any equivalent regulations in other jurisdictions where your end users are located.
- Record calls or conversations without obtaining all consents and providing all notices required by applicable law. You are solely responsible for obtaining call-recording and data-processing consent from your end users where required.
- Impersonate any person or entity, misrepresent the identity of the calling party, or deploy AI agents that deceive end users about material facts.
- Transmit content that is unlawful, defamatory, harassing, fraudulent, or obscene, or that infringes intellectual property rights.
- Probe, scan, or test the vulnerability of the Services, interfere with their operation, or attempt to gain unauthorized access to any systems or data.
- Resell, sublicense, or provide the Services to third parties except as expressly permitted in a written agreement with us.
We may suspend or terminate access to the Services if we reasonably believe your use violates this Section or exposes us, our infrastructure partners, or end users to harm or legal liability.
5. Customer Data & Privacy
As between you and us, you retain all rights in the data you submit to the Services and the data generated through your end users' interactions with your AI agents (including call recordings, transcripts, and conversation metadata) ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services in accordance with our Privacy Policy.
- You represent that you have all rights, consents, and lawful bases required to provide Customer Data to us and to permit its processing as described in these Terms and the Privacy Policy.
- You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it.
- Our collection, use, retention, and disclosure of personal data is described in the Privacy Policy, which forms part of these Terms.
6. AI Disclaimer
The Services use artificial intelligence technologies, including large language models, speech-to-text, and text-to-speech systems. AI-generated outputs are probabilistic in nature and may contain errors, omissions, or inaccurate statements, and may not reflect current information. You acknowledge and agree that:
- You are responsible for reviewing, testing, and supervising your AI agents and their outputs, particularly before and during use in critical, regulated, or high-risk scenarios (including financial, medical, or legal contexts).
- AI outputs do not constitute professional advice of any kind.
- You will configure your agents, scripts, and knowledge bases so that statements made to end users are accurate and lawful, and you remain responsible for the conduct of your AI agents toward your end users.
7. Fees & Billing
- Fees for the Services are denominated in Indian Rupees (INR) unless otherwise agreed in writing. Usage-based charges are metered per minute for voice conversations and per message for messaging channels, as described on our pricing page or in your order form.
- Fees are exclusive of applicable taxes (including GST), which will be charged in addition where required.
- Except as required by law or expressly stated otherwise, fees paid are non-refundable. Prepaid usage credits expire as specified in the applicable plan or order form.
- We may revise pricing with prior notice; revised pricing applies from your next billing cycle or renewal.
- Overdue amounts may result in suspension of the Services after reasonable notice.
8. Intellectual Property
We and our licensors retain all rights, title, and interest in and to the Services, including all software, models, documentation, designs, and trademarks (including "Zoice"). No rights are granted to you other than the limited right to access and use the Services as expressly set out in these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Services except to the extent permitted by applicable law. If you provide feedback or suggestions about the Services, we may use them without restriction or obligation to you.
9. Termination
- You may stop using the Services and close your account at any time.
- We may suspend or terminate your access to the Services (a) for material breach of these Terms that remains uncured after reasonable notice, (b) where required by law or by our telephony or infrastructure partners, or (c) for non-payment of undisputed fees.
- Upon termination, your right to use the Services ceases. We will make Customer Data available for export for a reasonable period following termination, after which it will be deleted in accordance with our retention practices described in the Privacy Policy, except where retention is required by law.
- Sections that by their nature should survive termination (including Sections 5, 6, 8, 10, 11, 12, and 13) will survive.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR RELIABLE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Indemnity
You agree to defend, indemnify, and hold harmless Zucol Services Private Limited, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services in violation of these Terms or applicable law, including telecommunications and data protection regulations; (b) Customer Data, including any failure to obtain required consents from your end users; or (c) your products, services, or communications with your end users.
13. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to any mandatory provisions of applicable law, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or in connection with these Terms or the Services.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date, and where appropriate, by email or in-product notice. Your continued use of the Services after the updated Terms take effect constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
